Setup Fee
A one-time setup fee of $2,500.00 is due before onboarding begins, in addition to the recurring plan fee below. The setup fee covers the complete setup of everything in this plan: a 10 to 20 page smart website, or a refresh of Client's existing website of comparable size, the build and configuration of every automation, integration and dashboard listed under Services Included, and the configuration and provisioning of the AI voice receptionist. It is non-refundable once onboarding work has started. Builds involving online payments, a customer login area or more than twenty pages are outside this plan's setup fee and are quoted separately in writing before work begins.
Billing & Payment
Client agrees to the following based on their selected plan:
- Month to month: $797.00/month, billed on the same date each month, six (6) month minimum
- 12-month commitment: $697.00/month, billed on the same date each month for twelve (12) months
Client authorizes MBS to charge the payment method on file for all recurring fees on the scheduled billing date.
Minimum Commitment
Client's minimum term depends on the rate Client selects. On the month-to-month rate the minimum commitment is six (6) months. On the lower 12-month rate the commitment is twelve (12) months, billed monthly throughout rather than charged in advance. After the applicable minimum, the plan continues on the same billing cycle until cancelled.
Cancellation
After the minimum term applicable to Client's selected rate, Client may cancel with 30 days' written notice to hello@mancinibusinesssolutions.com. If Client cancels before completing that minimum, the full remaining balance for the committed period is due immediately.
Taxes
All fees are exclusive of sales, use and similar taxes. Where any such tax applies to the services under this agreement, it is added to the invoice and paid by Client. Each party is responsible for its own income taxes.
Late Payment & Collection
Amounts not paid when due may accrue interest from the due date at the lesser of 1.5% per month or the maximum rate permitted by North Carolina law. Where MBS has to pursue an overdue amount, Client is responsible for reasonable costs of collection actually incurred, including court costs and reasonable attorney fees.
MBS will always ask for payment directly, in writing, before taking any step of that kind.
Payment Failure
If a scheduled payment fails, Client will be notified and given 3 business days to update their payment method. Failure to resolve within that window may result in service suspension or termination.
Domain Registration
If Client already owns a domain, this section does not apply. MBS never becomes the registrant of a domain Client already owns, and no transfer fee of any kind applies to it.
If Client does not already own a domain, MBS may register one on Client's behalf. Unless otherwise agreed in writing, MBS remains the registrant and retains administrative control of that domain for as long as this plan is active. Whenever Client requests transfer of a domain MBS registered on their behalf, whether during the minimum commitment, after it, or at any other point while this plan is active, a $250 domain transfer fee applies. If Client cancels before completing the minimum commitment, this fee is in addition to the remaining balance owed under Cancellation.
Effect Of Cancellation
Upon cancellation or non-renewal of this plan, whether at the end of the minimum commitment or after, MBS will stop hosting the website and providing the automations included in this plan (including the AI Chatbot, Missed Call Text-Back, automated Google review requests, CRM tools, and, for Growth Pro, the AI Voice Receptionist and lead nurture campaigns). These automations run on MBS's own systems and do not transfer to Client or continue working after cancellation, regardless of file ownership. If Client has completed the minimum commitment and is eligible for file release under Website & File Ownership below, Client is free to move the website to a hosting provider of their choosing, and MBS will provide reasonable assistance with that transfer upon request. If Client cancels before completing the minimum commitment, the terms under Cancellation and Website & File Ownership apply instead.
Website & File Ownership
Client is granted a license to use and publicly display the website for their business throughout the term of this agreement. Upon completion of the 6-month minimum commitment through normal billing and full payment, MBS assigns to Client all intellectual property rights in the custom design, layout, and content created specifically for Client's project. This does not include general-purpose frameworks, templates, or code libraries MBS uses across multiple client projects, or third-party assets (stock photography, fonts, plugins, or similar) licensed rather than created by MBS.
Early buyout. If Client cancels before completing the minimum commitment, Client may buy out the remainder by paying the full remaining balance for that period, as described under Cancellation. Once that payment is received, MBS assigns the intellectual property rights described above and will deliver the website files. A buyout applies only to file ownership. It does not include continued hosting or continued automations. Hosting ends and all automations included in this plan (including the AI Chatbot, Missed Call Text-Back, automated Google review requests, CRM tools, and, for Growth Pro, the AI Voice Receptionist and lead nurture campaigns) stop working upon cancellation and do not transfer to Client, whether or not a buyout is paid.
If Client cancels before completing the minimum commitment and does not pay the remaining balance, MBS retains full ownership of the website, including all intellectual property rights, and is under no obligation to deliver files or keep the site live. MBS retains the right to display completed work in its portfolio unless Client requests otherwise in writing.
Refunds
Payments already made are not refundable. That applies to setup fees, build fees and monthly fees alike, and it applies whether Client cancels, stops using the service, or is terminated for one of the reasons set out under Termination By MBS.
Cancelling stops future billing. It does not return money already paid, and it does not by itself end an unexpired minimum term: where a minimum term applies to Client's plan, the sections above govern what remains owed. Nothing in this section prevents Client from cancelling, and MBS does not treat a cancellation as a reason to withhold anything Client is otherwise entitled to under this agreement.
There is one exception, and it runs in Client's favor. If MBS ends this agreement without cause, MBS refunds any amount Client has paid for a period or a deliverable that MBS has not provided. MBS does not use its own right to terminate as a way of keeping money for work it chose not to do.
A refund request is not the same as a card dispute. If Client believes a charge is wrong, Client agrees to raise it with MBS at hello@mancinibusinesssolutions.com first, so it can be looked at directly, rather than disputing it with the card issuer before MBS has had a chance to respond.
Ownership Does Not Make MBS The Operator
Where MBS holds or retains rights in the website, that ownership covers the design, layout and code as creative work. It does not make MBS the operator, publisher or editor of Client's website, and it does not move any responsibility this agreement places on Client.
At all times, and regardless of who holds those rights: Client operates the website as Client's own business property and receives the business benefit of it; Client decides what information, claims, offers and prices appear on it; Client decides what personal information it collects and for what purpose, and is the controlling party for that information; and Client is responsible for the website's compliance with law, including the adequacy of its privacy policy, terms of use and any other legal notice published on it, whether those documents were produced through a service MBS operates or supplied by Client.
MBS acts as Client's service provider in building, hosting and maintaining the website at Client's direction. MBS's retention of rights exists to secure payment and to govern file delivery. It is not an assumption by MBS of editorial control, of responsibility for Client's data practices, or of Client's legal compliance.
Acceptable Use Of MBS Hosting
While a website is hosted by MBS, Client agrees not to publish or distribute through it: material that is unlawful in the United States; material that infringes another party's copyright, trademark or other rights; malware, phishing pages or code intended to gain unauthorized access; unsolicited bulk email or messaging sent in breach of applicable law; adult or sexually explicit material; or material that harasses or threatens a person or group.
Client is also responsible for the lawfulness of any product, service, claim or offer sold or advertised through the website, including any license, permit or registration its industry requires. Where MBS becomes aware of content of the kind described above, MBS will notify Client and may remove that content or suspend the website until it is resolved, and a repeated or serious breach is grounds for termination under Termination By MBS.
Client Data & MBS As Service Provider
Forms, chat, booking and messaging built under this Agreement run on the customer relationship and messaging platform MBS operates. Personal information submitted by Client's customers through those tools reaches MBS's systems before it reaches Client. That does not make MBS the business collecting it. Client decides what is collected and for what purpose, so Client is the controlling party for that information and MBS processes it only as Client's service provider.
In that role MBS agrees that it will: process personal information collected through Client's website only on Client's behalf and only to provide the services under this Agreement; not sell it and not share it; not retain, use or disclose it for any other purpose, including any purpose of MBS's own; not combine it with personal information from any other client or from any other source, except as needed to deliver these services to Client; and comply with each of these restrictions. MBS stores Client's submissions in a platform sub-account provisioned for Client rather than pooled with other clients, and does not use Client's leads or customer records for MBS's own marketing or for any other client.
Where Client receives a request from one of its own customers to access, correct, delete or stop the sale of personal information, MBS will help Client locate, export or delete the relevant records held in MBS's systems, at no charge. Where MBS receives such a request directly, MBS will pass it to Client rather than acting on it, because the decision belongs to Client.
When this Agreement ends, Client may request a complete export of its contacts, form submissions and message history for 30 days afterward. MBS will provide it at no charge in a common file format. After that period MBS may delete Client's records from its systems, and will delete them on Client's written request at any time, except for any copies MBS must keep for tax, accounting or legal-hold reasons.
Consent Language On Forms MBS Builds
Where MBS builds a form, chat flow or booking flow that captures a telephone number, and the services under this Agreement send text messages to that number, MBS includes standard consent language as part of the build: a separate, unchecked agreement to receive messages about the customer's enquiry, notice that message and data rates may apply, opt-out instructions, and a statement that consent is not a condition of purchase. Agreement to receive promotional messages is captured as its own optional checkbox and is never bundled with the first.
Client reviews and approves that language before launch. Client is the business sending the messages, so Client is responsible for the consent language published on its website, for the consent basis of any telephone number it imports or adds from its own records, and for its own compliance with telephone and messaging law.
Client may not instruct MBS to remove those elements, pre-check them, or combine required consent with promotional consent, and MBS will decline such an instruction.
Website Legal Pages
MBS provides the website's legal pages, including a Privacy Policy and Terms of Use, written to current standards for a website of this kind and describing Client's business rather than a shared template. They are published on Client's own website. MBS keeps them maintained while the recurring fee under this Agreement is paid, and MBS may produce or maintain them through a third-party policy service, in which case MBS holds and pays for that license on Client's behalf.
Maintenance continues only while that recurring fee is paid. If this Agreement ends, or if Client moves the website to another provider, maintenance ends with it, the published pages stop receiving updates, and from that point Client is responsible for its own legal pages.
Client may instead supply its own legal pages, prepared by Client or by Client's attorney, and MBS will publish those instead.
MBS is not a law firm, does not provide legal advice, does not review any legal page for legal sufficiency, and does not warrant that a page is adequate, current or appropriate for Client's business or for every jurisdiction its customers are in. Each page reflects the answers Client supplies, and the section below governs the accuracy of those answers. Where Client is in a regulated field or has specific legal exposure, Client should have its legal pages reviewed by its own attorney.
Accessibility
MBS builds websites with the Web Content Accessibility Guidelines (WCAG) 2.1 Level AA as its working standard, which covers keyboard navigation, labeled form fields, text alternatives for meaningful images, color contrast and a logical heading structure. MBS does not use accessibility overlay widgets.
Accessibility is a standard MBS builds to, not a legal guarantee. MBS does not warrant that Client's website complies with the Americans with Disabilities Act or any other law, and cannot control the accessibility of content, plugins, embeds or third-party tools added after delivery. Where Client is subject to a specific accessibility obligation, Client should have the site reviewed independently, and MBS will work with that reviewer.
Photography, Illustration & Imagery
Client's own photographs of Client's own work are always preferred and MBS will ask for them during onboarding. Where Client does not supply images, MBS may use licensed stock photography or AI-generated imagery. Anything used this way is illustration: it sets a tone and fills a layout, and it is not a photograph of Client's premises, staff, vehicles, equipment or completed work unless Client supplied it.
MBS will not use stock or AI-generated images of people presented as Client's employees, technicians or customers, will not depict premises, vehicles, signage or equipment as Client's own, and will not depict certifications, awards, affiliations or completed projects that Client does not have. Client may not instruct MBS to do any of these, and MBS will decline such an instruction.
Client reviews the complete website, including every image on it, before it goes live. By approving the website for launch, Client confirms that the imagery on it does not misrepresent Client's business. Where Client supplies an image, Client confirms it owns it or has permission to use it, and that any identifiable person in it has agreed to appear on a commercial website.
Accuracy Of Policy Questionnaire Answers
Where legal pages are generated for Client's website, their content comes from a questionnaire about how Client's business actually operates: what information it collects, why it collects it, who it is shared with, how long it is kept, whether Client markets to children, and which states and countries Client's customers are in. Client is responsible for answering that questionnaire completely and truthfully, and for notifying MBS when any answer stops being true. A generated policy describes what Client has stated its business does. It is not a legal opinion, and it does not make an inaccurate answer accurate.
One part of that questionnaire is MBS's responsibility, not Client's: the technology MBS installs on the website. MBS will disclose to Client, and will supply for the questionnaire, the third-party services MBS connects to the website in delivering this plan, including the hosting provider, any content delivery network, the customer relationship and messaging platform behind any form, chatbot or text automation, and any analytics in use. Client is not expected to know those services in advance and is not responsible for identifying them.
Where Client's answers are incomplete or inaccurate, or where Client adds tools, tracking scripts, forms, pixels or third-party embeds to the website after delivery without notifying MBS, MBS is not responsible for the resulting difference between the published policy and Client's actual practices.
Lead Dashboard Access
Client receives access to their Lead Dashboard (client CRM portal) at no additional cost. Access is scoped to Client's own leads and contacts only. Full administrative access is not included.
Support
MBS responds to support requests within two (2) business days, and usually much sooner. Support is provided by email and text during normal business hours. Where something is genuinely urgent, such as the website being offline or a form not delivering, MBS works on it as soon as it is reported rather than waiting out the response window.
Messaging On Client's Behalf, Consent & A2P Registration
Where this plan sends email or text messages to Client's own contacts, including review requests, lead nurture, reactivation campaigns, appointment reminders and Missed Call Text-Back, those messages go out under Client's business identity, to Client's lists, at Client's direction. MBS configures and operates the tools. Client is the sender.
Client is solely responsible for:
- obtaining and keeping a record of every consent required to contact each recipient, including prior express written consent for marketing text messages where the law requires it;
- the accuracy, content and lawfulness of any message Client requests or approves, including any price, claim or offer in it;
- list hygiene, which means not uploading purchased, rented, scraped or otherwise non-consented lists, and removing numbers that have been reassigned or disconnected;
- honoring every opt-out, unsubscribe and STOP request, including ones received outside the platform, such as by phone or in person;
- completing Application-to-Person (A2P 10DLC) brand and campaign registration in Client's own legal business name, using Client's own tax identification number, and keeping that registration accurate. Registration is a mobile carrier requirement, it cannot be shared between businesses, and approval is decided by the carriers and not by MBS; and
- compliance with each platform's own rules, including review platform rules that restrict how, when and to whom a review request may be sent, and any prohibition on selectively soliciting or gating reviews.
Client's Representation About Consent
Client represents and warrants, each time a message goes out and for as long as this Agreement is in effect, that every recipient on every list Client provides or approves has given the consent that the law requires for the kind of message being sent, that the consent was obtained by Client and not by MBS, that Client holds a record of it, and that no recipient has opted out. Client understands that marketing text messages generally require prior express written consent, that consent cannot be assumed from a past purchase, an existing customer relationship, a business card, or a publicly listed number, and that a number provided for one purpose is not consent for marketing.
Client further understands that MBS has no way to verify any of this. MBS sees a list; it does not see how the list was built. Client is the only party that knows whether consent exists, which is why Client is the party representing that it does.
MBS Is Not Liable For Messages Sent On Client's Behalf
MBS does not review Client's contact lists for consent, does not audit Client's consent records, and is not responsible for any message sent to a recipient who did not consent to receive it. To the fullest extent permitted by law, MBS has no liability to Client or to any third party for any claim, demand, complaint, penalty, fine, judgment, settlement, or legal cost arising from messages sent on Client's behalf, including claims under the Telephone Consumer Protection Act, the CAN-SPAM Act, state telemarketing or do-not-call statutes, or comparable law, and including claims that consent was absent, invalid, expired, revoked, or obtained improperly.
Client's indemnification obligations in this Agreement apply in full to every such claim, including one brought against MBS as the operator of the sending platform rather than as the sender. This survives cancellation of the plan and termination of this Agreement.
Either party may pause messaging immediately if it believes messages are going to recipients who did not consent, and MBS may pause a campaign without notice where a carrier, platform or regulator requires it. Pausing is a precaution and is not an admission by either party.
How MBS Helps With A2P Registration
Registration has to be in Client's name, but Client does not have to work it out alone. As part of onboarding, MBS will:
- walk Client through what A2P 10DLC registration is, why the mobile carriers require it, and what it means for message delivery;
- tell Client exactly which details are needed, and which ones cause a rejection when they are wrong, in particular that the legal business name and tax identification number must match what Client files with the IRS rather than a trade name or DBA;
- prepare the brand and campaign submission, including the campaign description, the sample messages, and the opt-in description, written to match the consent wording on Client's own forms;
- build or correct the consent checkboxes on Client's website forms so the opt-in is separate, unchecked by default, and never a condition of submitting the form or making a purchase;
- publish the messaging language the carriers look for in Client's Privacy Policy and Terms of Use, at publicly reachable URLs on Client's own domain;
- submit the registration on Client's behalf and track it through review; and
- if it is rejected, read the rejection reason, correct what caused it, and resubmit.
What MBS cannot do is decide the outcome. Approval rests with the carriers and the registry, not with MBS, so MBS does not warrant that any registration will be approved or approved within any particular time. Carrier and registry fees are Client's responsibility. If a registration is rejected or suspended, or if carriers filter or block messages, messaging features may be unavailable until it is resolved. That does not reduce the plan fee, pause the minimum commitment, or constitute a failure to perform by MBS.
Client may also register independently or through another provider. If Client does, Client is responsible for keeping that registration accurate and for telling MBS about any change, since a mismatch between the registration and what is published on the website can cause messages to be filtered.
Client Materials & Indemnification
Client warrants that it owns, or has permission to use, everything it supplies to MBS, including text, photographs, logos, trademarks, video, reviews, certifications and customer information, and that supplying it to MBS does not breach anyone else's rights or any agreement Client has entered into.
Client agrees to indemnify and hold MBS harmless from any third-party claim, demand or cost, including reasonable legal fees, arising from: material Client supplied or instructed MBS to publish; the products, services, prices, offers, guarantees or credentials Client advertises; Client's own data practices or legal compliance; or Client's use of the deliverables after MBS provides them. This does not apply to a claim caused by MBS's own negligence or by material MBS created and published without Client's approval.
No Guarantee Of Results
MBS does not guarantee any specific ranking, placement, impression count, click count, traffic level, number of leads, conversion rate, follower count, engagement level or revenue figure, and does not guarantee that Client's business will appear in any particular search result, map listing, AI-generated answer or social feed.
Search engines, AI tools, advertising networks and social platforms control their own results and change their systems without notice. MBS commits to delivering the work described in this agreement to a professional standard. Any figure, estimate or example discussed before signing is illustration, not a promise.
Third-Party Services & Fees
Some parts of the work depend on services MBS does not control, including domain registrars, hosting infrastructure, the customer relationship and messaging platform, payment processors, analytics providers, stock media libraries, fonts, plugins, carriers and social platforms. Those services are governed by their own terms, and their availability, pricing and features may change.
Where a project needs a paid third-party item that is not listed in this agreement, such as a premium font, a stock video license, a paid plugin, a carrier registration fee or a payment processor's transaction fees, MBS will tell Client the cost in advance. Client either pays that provider directly or reimburses MBS at cost. MBS does not mark up third-party fees.
Confidentiality
Each party agrees to keep the other's non-public business information confidential and to use it only to perform or receive the services under this agreement. That includes pricing, customer lists, login credentials, unreleased plans and anything marked or clearly intended as confidential. It does not include information that is already public, that a party already had, or that a party is required to disclose by law.
This obligation continues after this agreement ends. It does not prevent MBS from describing the work generally in its portfolio and marketing, as set out under Communications & Marketing Consent.
Communications & Marketing Consent
By purchasing this plan, Client consents to receive transactional communications from MBS related to their project and account via email and/or SMS. Message and data rates may apply. Separately, during onboarding, Client will have the opportunity to opt in to marketing communications (project updates, promotional emails and texts) and to grant MBS permission to showcase the completed website, business name, and logo in its portfolio and marketing materials. Marketing consent is optional, is not required to purchase or use MBS's services, and may be withdrawn at any time by contacting hello@mancinibusinesssolutions.com or using the opt-out instructions included in any marketing message.
Order Authorization
If this Agreement or the associated order form is completed by an MBS representative on Client's behalf, including during a live call or screen-sharing session, Client's verbal confirmation of the terms read aloud by the MBS representative constitutes Client's acceptance of this Agreement to the same extent as if Client had completed the form personally. MBS will read the material terms of the applicable plan aloud to Client before completing the order on Client's behalf, including price, billing frequency, and any minimum commitment. Client will still receive this Agreement by email for independent review and signature following purchase.
Legal Policies Authorization
Where MBS produces or maintains Client's legal pages through a third-party automated policy service, Client authorizes MBS to enter the business details Client provides during onboarding into that service on Client's behalf. MBS is not a law firm, and neither MBS nor any such service provides legal advice. Client remains responsible for the accuracy of the information it provides and for its business's legal and regulatory compliance. See We Do Not Provide Legal Advice in the Terms of Service for additional detail.
Website Attribution
Unless Client requests otherwise, MBS will include a small "Website by Mancini Business Solutions" credit, linked to mancinibusinesssolutions.com, in the footer of the delivered website. Client may request removal of this credit at any time by emailing hello@mancinibusinesssolutions.com, and MBS will remove it within a reasonable time.
AI Disclosure
This plan includes AI-powered tools, including the AI Voice Receptionist and automated nurture campaigns. These tools are configured and reviewed by MBS but may not handle every interaction perfectly. See the AI Transparency Statement for more detail.
Limitation Of Liability
MBS is not liable for losses resulting from website downtime, third-party service outages or failures, search engine algorithm changes, or actions taken by Client after delivery. MBS's total liability under this agreement in any 12-month period will not exceed the total amount paid by Client to MBS during that period.
Governing Law
This agreement is governed by the laws of the State of North Carolina.
Disputes & Venue
If a dispute arises, both parties agree to raise it in writing first and to try in good faith to resolve it directly for at least 30 days before starting any proceeding. Notice of a dispute goes to hello@mancinibusinesssolutions.com and to the email address Client provides for notices.
Any claim that cannot be resolved that way will be brought in the state or federal courts serving Pender County, North Carolina, and both parties consent to that venue. Each party pays its own costs unless a court orders otherwise. Nothing here prevents either party from seeking an injunction to stop the misuse of confidential information or intellectual property.
Independent Contractor
MBS performs this work as an independent contractor. Nothing in this agreement creates an employment relationship, partnership, joint venture or agency between the parties, and neither party may bind the other to any obligation. MBS decides how, when and with which tools the work is carried out, and may use subcontractors, remaining responsible for their work under this agreement.
Force Majeure
Neither party is liable for a delay or failure caused by something outside its reasonable control, including hurricanes and other severe weather, power or internet failure, an outage at a hosting, platform or carrier provider, a cyber attack, illness, or a change in law. The affected party will notify the other promptly and resume as soon as it reasonably can. Where a delay of this kind is prolonged, either party may end this agreement and the Refunds section governs what is returned.
Notices
Notices under this agreement are given by email: to MBS at hello@mancinibusinesssolutions.com, and to Client at the email address Client provides at purchase or onboarding. A notice is treated as received on the business day it is sent, unless the sender receives a delivery failure. Each party is responsible for keeping its notice address current.
Termination By MBS
MBS reserves the right to terminate this agreement with 30 days' written notice, or immediately in cases of non-payment, abusive conduct, or violation of these terms. In the event of termination by MBS without cause, any unused prepaid fees will be refunded.
Electronic Signature & Records
Both parties agree that this agreement may be signed and delivered electronically, and that an electronic signature, a typed name in a signature field, a click-to-accept confirmation, or a reply by email stating agreement has the same effect as a handwritten signature. The parties also agree that electronic copies and records of this agreement are originals for all purposes.
Survival
The following survive the end of this agreement, however it ends: intellectual property ownership and license terms; Refunds; Client Materials & Indemnification; Confidentiality; Limitation Of Liability; Taxes and any amount already due; Disputes & Venue; and Governing Law. Any obligation that by its nature is meant to continue after termination does continue.
Entire Agreement, Changes & Severability
This agreement, together with the order form Client completed and the Terms of Service and Privacy Policy published at mancinibusinesssolutions.com, is the entire agreement between the parties on this subject, and it replaces any earlier proposal, quote, email or conversation that conflicts with it. Where a conflict remains, this signed agreement governs.
Changes to this agreement are effective only when both parties agree in writing, which includes email. If any part of this agreement is found unenforceable, the rest stays in force. A party's failure to enforce a term is not a waiver of it. Client may not assign this agreement without MBS's written consent. MBS may assign it in connection with a sale or reorganization of its business, and will notify Client if it does.
Acceptance Of These Terms
These terms are accepted when Client signs the one-page Project Agreement for this plan, completes the order form for it, or pays an invoice or deposit for it. Any of those confirms that Client has had the opportunity to read these terms and agrees to them. No separate signature is needed on this page.
The signed Project Agreement and these terms together form the agreement between the parties. The Project Agreement states the project-specific details, including scope, fees, dates and the plan selected. Where the Project Agreement and these terms differ on a figure or a date, the Project Agreement governs. These terms may change for future clients, and the version in force is the one in effect on the date Client accepted them; a copy of that version is available from MBS on request.
